Terms of Service
The legal agreement between your firm and Decoded Systems, LLC.
1. The service
Decoded Systems, LLC (“Decoded Systems”, “we”, “us”) provides Oryn, a law practice management software-as-a-service product (the “Service”), to your firm (“Customer”). These terms govern your use of the Service. By creating or using an Oryn account, you agree to these terms on behalf of yourself and, if you are acting on behalf of a firm, on behalf of that firm.
2. Accounts
You are responsible for accurate registration, for each user you invite, and for the security of your credentials. You agree to notify us immediately of any unauthorized use of your account.
3. Fees
Fees are as stated in your order form or subscription page. Payment is due in advance for each billing period.
4. Customer data
Customer retains all right, title, and interest in and to Customer Data. Oryn acts as a processor of Customer Data under Customer’s direction. Our use of Customer Data is governed by our Data Processing Addendum, incorporated here by reference.
5. Acceptable use
The Service may not be used to engage in activity that is unlawful, abusive, or in violation of the bar rules governing the Customer. Detailed acceptable-use provisions are on the acceptable use page.
6. Warranties and disclaimers
Oryn warrants that the Service will operate substantially as described in the documentation. Except as expressly provided, the Service is provided “AS IS” without warranty of any kind. Oryn is not the Customer’s attorney and provides no legal advice.
7. Limitation of liability
To the maximum extent permitted by law, neither party’s liability under this agreement shall exceed the fees paid by the Customer in the twelve months preceding the event giving rise to the claim.
8. Indemnification
Oryn will defend the Customer against third-party claims that the Service infringes a patent, copyright, or trade secret of the claimant. The Customer will defend Oryn against third-party claims arising out of Customer Data.
9. Termination
Either party may terminate for material breach with thirty days written notice and an opportunity to cure. On termination, the Customer retains the right to export its data for 90 days.
10. Governing law
Washington State law. Disputes are resolved in the state or federal courts located in King County, Washington.
11. SMS / Text Messaging
By providing a mobile number and requesting a verification code, you consent to receive one-time SMS verification codes from Oryn (or, where applicable, branded with the name of your law firm in the message body). Standard message and data rates may apply. You can opt out at any time by replying STOP. We are not responsible for messages that fail to deliver due to carrier issues, wireless coverage, or numbers that have opted out.
